Subject to the terms and conditions of this Agreement, ImgEdit AI grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your personal or internal business purposes.

You agree not to:

• Modify, adapt, translate, or create derivative works based on the Software.
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Software.
• Rent, lease, loan, sell, sublicense, distribute, transmit, or otherwise transfer the Software to any third party.
• Use the Software for any unlawful purpose or in any manner inconsistent with this Agreement.
• Remove, alter, or obscure any proprietary notices on the Software.

The Software is licensed, not sold, to you. ImgEdit AI retains all right, title, and interest in and to the Software, including all intellectual property rights therein. You acknowledge that no title to the intellectual property in the Software is transferred to you and that you do not obtain any rights to the Software except as expressly set forth in this Agreement.

ImgEdit AI may, from time to time, provide updates, enhancements, or modifications to the Software (collectively, “Updates”). Updates may be provided automatically or require manual installation. All Updates are subject to the terms of this Agreement.

This Agreement is effective upon your acceptance and will continue in effect until terminated. Your rights under this Agreement will terminate automatically without notice from ImgEdit AI if you fail to comply with any term(s) of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession or control.

The Software is provided “as is” and “as available,” without warranty of any kind. To the maximum extent permitted by applicable law, ImgEdit AI disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ImgEdit AI does not warrant that the Software will meet your requirements, be error-free, or operate without interruption.

To the maximum extent permitted by applicable law, in no event shall ImgEdit AI be liable for any indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Software, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if IMGEDIT.AI has been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless ImgEdit AI, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from your use of the Software or your violation of this Agreement.

This Agreement shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement will be brought exclusively in the federal or state courts located in [Your Jurisdiction], and you hereby consent to the personal jurisdiction and venue therein.

This Agreement constitutes the entire agreement between you and ImgEdit AI with respect to the Software and supersedes all prior or contemporaneous understandings and agreements, whether written or oral, relating to the Software. No amendment to or modification of this Agreement will be binding unless in writing and signed by ImgEdit AI.
